1. Role of Struktur Invest
Struktur Invest acts solely as a distributor of unregulated alternative investment products.
We do not:
- provide investment advice,
- make investment recommendations, or
- execute or receive orders.
Our role is limited to introducing potential qualified investors to product issuers and distributing issuer-provided marketing materials and termsheets. Struktur Invest does not handle payments, custody, settlement, or any transaction-related services.
2. Investor Eligibility
The products presented are Unregulated Alternative Investments intended exclusively for Professional Investors and Semi-Professional Investors under applicable legislation.
These investors are expected to possess adequate experience, knowledge, and financial capacity to evaluate and bear the risks of such products.
Retail investors must not rely on or act upon any information provided by Struktur Invest.
3. Investor Eligibility
The products marketed through Struktur Invest fall outside the scope of the following regulatory frameworks:
- MiFID II (Markets in Financial Instruments Directive)
- AIFM/FAIF regulation (Alternative Investment Fund Managers Directive)
As a result:
- There is no requirement for a prospectus.
- There are no reporting obligations to the Danish Financial Supervisory Authority (Finanstilsynet).
- Investor protection mechanisms applicable to regulated products do not apply.
Investors should carefully consider these regulatory implications before engaging with any unregulated alternative investment.
4. Investor Responsibility
All investment decisions are made solely at the investor’s own discretion and risk.
Potential investors are strongly encouraged to:
- conduct their own due diligence, and
- seek independent professional advice prior to making any investment commitment.
5. Limitation of Liability
Struktur Invest accepts no liability for:
- investment decisions taken by investors,
- the performance, structure, or risk profile of any product, or
- the completeness or accuracy of issuer-provided materials.
